These Terms and Conditions govern your participation in the D&A Network Affiliate Program. By joining our program, you agree to comply with all terms outlined below.
1. Agreement Overview
This Agreement constitutes a legally binding contract between you ('Affiliate') and D&A Network ('Company') regarding your participation in our Affiliate Program. By applying to participate, you acknowledge that you have read, understood, and agree to be bound by these terms.
2. Commission Structure
Our affiliate program offers competitive commission rates based on your monthly sales performance:
Bronze Tier
₹0 - ₹25,000 monthly sales
- 5% commission on all sales
- Monthly payment processing
- Basic marketing materials
- Email support
Silver Tier
₹25,001 - ₹75,000 monthly sales
- 8% commission on all sales
- ₹1,000 monthly bonus
- Premium marketing materials
- Priority email support
Gold Tier
₹75,001 - ₹1,50,000 monthly sales
- 12% commission on all sales
- ₹3,000 monthly bonus
- Custom marketing materials
- Phone & email support
Platinum Tier
₹1,50,001+ monthly sales
- 15% commission on all sales
- ₹5,000 monthly bonus
- Exclusive marketing materials
- Dedicated account manager
Commission Calculation Notes:
- Commissions are calculated on net sales (excluding taxes, shipping, and returns)
- Tier levels are determined by the previous month's sales volume
- Bonuses are paid in addition to regular commissions
- Commission rates are reviewed annually and may be adjusted with 30 days notice
- Special promotional rates may apply during specific campaigns
3. Eligibility Requirements
Basic Requirements
- Must be 18+ years of age
- Valid email and contact information
- Legal authorization to enter contracts
- Resident of eligible country/region
Platform Requirements
- Active website, blog, or social media presence
- Minimum 1,000 followers/subscribers
- Regular content creation and engagement
- Family-friendly, appropriate content
Business Requirements
- Valid tax identification number
- Bank account for payment processing
- Commitment to ethical marketing practices
- Compliance with advertising standards
4. Payment Terms
Payment Schedule
- Monthly payments processed by the 15th of each month
- Payments cover the previous month's earned commissions
- Minimum payout threshold: ₹1,000
- Earnings below threshold carry over to next month
- 45-day hold period for new affiliates
Payment Methods
- Direct bank transfer (NEFT/RTGS) - India
- UPI payments for amounts under ₹50,000
- International wire transfer (non-Indian affiliates)
- PayPal (where available)
- Digital wallet payments (selected regions)
Tax & Legal
- TDS deducted as per Indian tax regulations
- Form 16A provided for TDS deductions
- Affiliates responsible for their tax obligations
- GST applicable where required by law
- Compliance with local tax reporting requirements
5. Affiliate Responsibilities
🎯 Honest Marketing
Promote products truthfully without false claims or misleading statements about features, benefits, or pricing.
📢 Proper Disclosure
Clearly disclose affiliate relationships in accordance with FTC guidelines and local advertising standards.
🎨 Brand Compliance
Use only approved marketing materials and maintain brand consistency in all promotional activities.
📊 Accurate Reporting
Provide truthful information about traffic sources, audience demographics, and marketing methods.
🔒 Data Protection
Protect customer data and maintain confidentiality of proprietary information.
📱 Platform Compliance
Comply with terms of service of all platforms where you promote our products.
6. Prohibited Activities
🚫 Fraudulent Practices
- Self-referrals or purchasing through own affiliate links
- Cookie stuffing or deceptive tracking methods
- Creating fake accounts or using automated systems
- Incentivized traffic or paid-to-click schemes
- Manipulating conversion data or analytics
🚫 Brand Violations
- Bidding on D&A Network branded keywords
- Using brand name in unauthorized domain names
- Creating misleading brand representations
- Trademark or copyright infringement
- Unauthorized use of company logos or materials
🚫 Content Violations
- Adult, violent, or inappropriate content
- Spam or unsolicited email marketing
- Negative or disparaging content about D&A Network
- False or exaggerated product claims
- Content that violates platform community guidelines
7. Tracking & Attribution
Cookie Duration
30 days from the last click on your affiliate link
Attribution Model
Last-click attribution - credit goes to the final affiliate link clicked
Tracking Technology
Advanced tracking system with real-time reporting and fraud detection
Data Accuracy
We reserve the right to reject suspicious or fraudulent transactions
8. Intellectual Property
D&A Network grants you a limited, non-exclusive, revocable license to use our trademarks, logos, and marketing materials solely for promoting our products through the Affiliate Program.
Usage Guidelines:
- Use materials exactly as provided without modification
- Do not create derivative works of our content
- Remove all materials immediately upon termination
- Respect all copyright and trademark notices
- Obtain written permission for any custom usage
9. Program Modifications
D&A Network reserves the right to modify these terms, commission rates, or program structure at any time. Material changes will be communicated via email at least 30 days before taking effect.
Types of Modifications:
- Commission rate adjustments (with 30-day notice)
- New tier additions or modifications
- Payment term updates
- Eligibility requirement changes
- Program policy updates
10. Termination
Either party may terminate this agreement at any time with or without cause by providing written notice.
Upon Termination:
- Immediate cessation of all promotional activities
- Removal of all D&A Network marketing materials
- Payment of outstanding commissions per normal schedule
- Continued confidentiality obligations
- Return or destruction of confidential information
11. Limitation of Liability
D&A Network's total liability under this agreement is limited to the payment of earned commissions. We shall not be liable for:
- Lost profits, indirect, or consequential damages
- Technical issues affecting tracking or reporting
- Changes to commission structure with proper notice
- Third-party platform policy changes
- Suspension or termination of the program
12. Governing Law
This agreement is governed by the laws of India. Disputes will be resolved through binding arbitration in accordance with the Indian Arbitration and Conciliation Act, 2015.
